LeaveAd Terms and Conditions Through the LeaveAd.com program offers an opportunity for owners/operators of Internet Web Sites ("Site Operators") to direct traffic to LeaveAd.com and earn a commission each time a visitor is directed to a set of sponsored LeaveAd sites. The terms and conditions of this Agreement are as follows: 1. How LeaveAd.com Operates: 1.1 Upon registration you will receive an e-mail confirmation of your participation. This communication will provide you with the URL to which you will link from the banners, photo-links or any hypertext transfer link appearing at your site. You must use the URL provided to you in order to receive credit to your account. 1.2 Upon registration you will be issued a User Name and Password. Please remember them, as you will need them in order to access your Account Statistics. You may access your Account Statistics by choosing the appropriate icon on the LeaveAd.com Home Page. Account statistics will be updated periodically. 1.3 Your commission shall be earned on each full, initial page load which occurs when a user is redirected to the LeaveAd system and the creative is allowed to load completely 2. Site Owner/Operator Obligations: 2.1 You are required to enter a Federal Tax ID or Social Security Number on the registration form. 2.2 LeaveAd.com code must be the only out of page ad on the page.If we determine that your site is running Out of page ad other than LeaveAd, your account will be terminated. 2.3 LeaveAd.com code must be launched form your site's main page; it may not be launched from a pop-up window 2.4 LeaveAd code must be launched on English-Speaking sites only. You may not use this service if your site is not an English language site. You must have all referring pages written entirely in English. If we determine that you have launched the LeaveAd.com code from a non-English speaking website without the prior written consent of LeaveAd.com, the account from which the hits originated will be cancelled and all funds accrued will be forfeited. 2.5 The sending of traffic from any URLs that contain and /or promote the following content: adult content or any type of pornography, warez, MP3s, ROMs, EMUs, newsgroup postings, SPAM emails, or any other site that contains content or promotes activities that contains content or promotes activities that are illegal in the United States, without the prior, written consent of LeaveAd.com will result in the immediate cancellation of the account from which the hits were sent and the forfeiture of any funds accrued to that account. 2.6 LeaveAd may change the Terms and Conditions of service from time to time. It is your responsibility to check this document periodically for any changes or modifications as there will be no individual notice to members regarding such changes or modifications. Your continued use of this service constitutes an affirmative acknowledgement by you of the Terms and Conditions and any subsequent modifications made to them and your agreement to abide by and be bound by them. 2.7 LeaveAd may not be used on any free hosted web sites which utilize their own advertising pop ups. 2.8 REMEMBER: You MUST not alter the JavaScript code provided to you in any way. Failure to follow this instruction is considered cheating and you will not be paid. No Exceptions! 2.9 It is against the rules to artificially generate impressions in any way. All impressions must be the product of a surfer visiting your webpage. Impressions from e-mail, newsgroups, impression generating programs automatically get discarded. LeaveAd has no obligation to pay affiliate for commissions for impressions that were not generated by means of valid website visit which shall be determined in LeaveAd's sole discretion. 2.10 Any artificial means of generating impressions including, but not limited to, hitbots, multiple clicking scripts, begging for clicks, zero frames, IRC cheats or any other similar activity will result in forfeiture of all monies owed and criminal prosecution. 2.11 Each page that contains a LeaveAd.com JavaScript link must be part of a regularly viewed webpage that is regularly accessed by a surfer during that surfer's visit to your website(s). A LeaveAd.com JavaScript link may not be the only thing on a web page or on a web page with limited content. Of Congo), Zambia, Zimbabwe 2.14 LeaveAd reserves the right to terminate the account of any affiliate who publicly posts derogatory and or slanderous statements about LeaveAd.com, and their subsidiaries or officers. 3. Rights Granted: 3.1 LeaveAd grants to the Site Operator the non-exclusive right to direct to LeaveAd Web Site(s) traffic originating at their Web Site. 3.2 LeaveAd grants to site Operator a limited, non-exclusive, non-transferable license, during the term of this Agreement, to use the Java Script code provided for the sole purpose of marketing, advertising and promoting LeaveAd Site(s). The license herein granted shall automatically and immediately cease upon the termination of this Agreement. 3.3 The rights granted herein shall be for reasonable, appropriate and lawful use only. LeaveAd neither encourages nor condones the misappropriation of text/images or other trade or service marks for commercialpurposes and shall not be responsible for such conduct by the site Operator. In addition, LeaveAd specifically forbids the practice of "spamming" (the sending of unsolicited bulk e-mail) as a means of attracting traffic. Any site Operator found to be spamming or infringing upon the rights of another person or entity will be dropped without payment from the program. 4. Site Operator Commission: 4.1 For each 1000 initial impressions directed to the LeaveAd.com site from your site, a commission of $2.00 shall be paid. Commissions shall be paid on the 15th of each month for the previous month's reporting period, except that commissions must reach a minimum of ten dollars ($10.00) before a payment will be issued. In such cases where the amount of Site Operator commissions earned within any month is less than ten dollars ($10.00), that amount will be automatically rolled over into the following month's Site Operator commissions, provided that the total is over ten dollars, ($10.00). All payments will be made by paypal. 5. Representations and Warranties: 5.1 You, as site Operator, warrant and represent that you own or operate a lawful, and otherwise valid Internet Web site. You further represent that you have the requisite power and authority to enter into this Agreement and perform the obligations set forth herein and that you are an adult at least eighteen (18) years of age; that performance under this Agreement does not and will not constitute a breach of any existing contract or obligation undertaken by you; and that there are no outstanding orders, judgments, decrees, rules or regulations which would preclude you from entering into this Agreement. You shall indemnify LeaveAd against any loss, damage, liability (including reasonable legal fees) which result from the use of any LeaveAd materials not expressly authorized by this Agreement. 6. Disclaimer and Limitation of Liability: 6.1 LeaveAd makes no warranties, either express or implied, with regard to the performance of the link or the content of the LeaveAd.com Web Site and LeaveAd expressly disclaims any warranties, including that of merchantability or fitness for a particular purpose. LeaveAd shall not be held liable to the site Operator or any other person or entity, including users of the LeaveAd services, for any losses, injuries or damages of any kind, arising from or in connection with any mistakes, omissions, delays, errors, interruptions in the transmission or receipt of the LeaveAd services or content. 6.2 Nothing in this Agreement shall be construed as to create a partnership, agency or employment relationship between you and LeaveAd. 7. Term and Termination of Agreement: 7.1 The term of this Agreement shall be indefinite. LeaveAd reserves the right to terminate this Agreement at any time, without cause. Delivery of notice via e-mail shall be considered sufficient notice to you. 7.2 Upon termination of this Agreement you shall immediately cease using all LeaveAd marks. 7.3 Any warranties, indemnities and obligations, which by their nature are designed to survive termination, shall extend beyond the termination of this Agreement. 7.4 Upon termination of this Agreement you shall be entitled to all unpaid commissions earned prior to the date and hour of termination, unless it has been determined that referrals were generated by fraud. However, you shall not be entitled to receive commissions for referrals delivered after the date of termination. Please note: final payments are made only if your account balance exceeds ten dollars ($10.00). 7.5 LeaveAd reserves the right to terminate LeaveAd affiliates from the LeaveAd.com program without advance notification for any reason. In such case you will be notified by e-mail immediately and paid for all impressions accumulated up to that point in time, except in cases where it is determined you have violated this agreement in any material way. 8. Acceptance and Execution of Agreement: 8.1 By filling out and submitting the registration form, you are agreeing to be bound by the terms of this Agreement and LeaveAd, is agreeing to become a counter-party to the Agreement.
